Terms and conditions

These terms govern the use of UNIR2. By creating an account or using the service, you accept them.

1. Acceptance

These terms govern access to and use of UNIR2 (www.unir2.com, app.unir2.com, its installable web app and the modules activated with a UNIR2 account), operated by NewPlain, based in Santo Domingo, Dominican Republic. If you accept on behalf of a company, you confirm you have authority to do so. If you do not agree, do not use the service.

2. The service

UNIR2 is a platform for connecting technologies. It includes:

• Sinaps: ready-to-activate use cases that connect several tools (for example, WhatsApp, artificial intelligence and your management system).
• Third-party modules: apps for other platforms, today Odoo modules published on the Odoo Apps Store, activated with your plan's Tokens.
• Custom sinaps and modules, quoted and agreed separately.

The features of each sinap or module depend on your plan and may change as we improve the service.

3. Your account

You sign in to UNIR2 with your Google account. You are responsible for your access, the users you invite and everything done from your account. You agree to provide accurate information and to tell us immediately if you notice unauthorized access.

4. Free trial and plans

• Every new account gets a 30-day FREE trial, no card required, with the limits shown on the website. Only one trial is offered per company, WhatsApp number and Odoo database.
• When the trial ends, your sinaps and modules are paused and your data is kept until you choose a plan.
• Plans (Basic, Profesional and Enterprise) set how many active sinaps, AI conversations, WhatsApp numbers, users and Tokens you have, and your support level. The current limits are those published on the website and in the platform.
• Each third-party module active in one Odoo database uses 1 Token of your plan. You can free a Token from the Tokens screen.
• Custom plans are agreed in writing with our team.

5. Prices, payments and billing

• Prices are in US dollars (USD) and are charged in advance, monthly or yearly, through Stripe. By adding your payment method you authorize recurring charges.
• If you move to a higher plan, Stripe may charge the prorated difference for the period; if you move to a lower one, the new price applies from the next cycle.
• WhatsApp messages are billed by Meta directly to your WhatsApp Business account and are not included in the UNIR2 price.
• We may change prices with 30 days' notice. Changes do not affect periods already paid.
• If a charge fails, we may pause sinaps and modules until payment is settled.
• Payments made are non-refundable unless applicable law says otherwise.

6. Cancellation

There is no lock-in. You can cancel at any time from Billing; your plan stays active until the end of the paid period. After that, your sinaps and modules are paused and your data is kept; you can ask us to delete it whenever you want. We may suspend or close accounts that breach these terms.

7. Third-party services

UNIR2 connects with third-party services such as Google, Meta (WhatsApp Business Platform), artificial intelligence providers, Stripe and Odoo. Their use is also governed by each provider's terms. We are not responsible for their policies, prices, changes or outages.

Third-party modules are designed never to block your platform: if a Token or plan expires, the module switches off, but your Odoo keeps working and installing, updating or migrating is never blocked.

8. Acceptable use

You may not use UNIR2 to:

• carry out illegal or fraudulent activities;
• send spam or unsolicited bulk messages;
• violate the privacy or rights of others;
• compromise the security of the platform or try to bypass its limits or licenses;
• resell the service without written permission;
• breach the terms of connected platforms (Meta, Google, Odoo, AI providers, among others).

9. Your data and your contacts' data

The data you upload or that your sinaps process belongs to you; UNIR2 only uses it to provide the service, as described in our Privacy policy. You are responsible for having the legal basis and consent of your customers and contacts to message them and process their data, under the laws of your country and WhatsApp's policies.

10. Intellectual property

The software, design, brand and content of UNIR2, its sinaps and its modules belong to NewPlain. Your plan gives you the right to use them while it is active, without transferring ownership. Custom sinaps and modules may be added to the UNIR2 library for other customers with the same need, without including your data.

11. Availability and liability

We work to keep UNIR2 always available, but we do not guarantee uninterrupted service. AI-generated answers may contain errors; check important information before making decisions.

To the extent permitted by law, NewPlain is not liable for indirect damages, lost profits or loss of data or business, and its total liability will not exceed what you paid for UNIR2 in the 3 months before the event giving rise to it.

12. Governing law

These terms are governed by the laws of the Dominican Republic. Any dispute will be submitted to the competent courts of Santo Domingo.

13. Changes and contact

We may update these terms. If the change is significant, we will let you know by email or within the platform before it applies; continuing to use the service means you accept it.
